Abstract

This thesis provides a comparative legal analysis of the implementation of international standards for artificial intelligence (AI) regulation into corporate governance systems. It examines instrumental and subject-oriented approaches to the legal status of AI in corporate law and outlines the requirements imposed on corporations by the OECD Principles (2019), UNESCO Recommendations (2021), and the European Union’s Artificial Intelligence Act (EU AI Act). The differences between Anglo-Saxon (United States, Delaware) and continental (Germany) models are identified in terms of directors’ fiduciary duties, the Business Judgment Rule, and liability for algorithmic decisions. Based on the identified gaps in Uzbekistan’s legislation, including the legal status of AI, the concept of a “governing body,” and the absence of independent AI audit mechanisms, proposals are made to strengthen AI’s legal framework and introduce recommendatory provisions into the Corporate Governance Code based on the “comply or explain” principle.
